Welcome to Feodis ("Company," "we," "us," or "our"). These Terms of Use ("Terms," or "Agreement") govern your access to and use of the Feodis website located at feodis.co (the "Site"), our mobile applications, and all related services, features, content, and functionality offered by Feodis (collectively, the "Services").

BY ACCESSING OR USING OUR SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. If you do not agree to all of these Terms, you may not access or use our Services.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Site with a revised "Last Updated" date. Your continued use of the Services after such changes constitutes your acceptance of the revised Terms.

2.1 Eligibility

You must be at least 18 years of age to use our Services. By using our Services, you represent and warrant that you are at least 18 years old, have the legal capacity to enter into a binding contract, are not barred from using the Services under applicable law, and that all information you provide is accurate, current, and complete.

2.2 Account Registration

When you register, you agree to provide accurate information, keep your password secure, and notify us immediately of any unauthorized use of your account.

2.3 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials. Feodis will not be liable for any loss or damage arising from your failure to comply with these security obligations.

2.4 Account Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms, fraudulent or illegal activity, or requests by law enforcement or government agencies.

Subject to your compliance with these Terms, Feodis grants you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your personal, non-commercial use. You agree not to copy, modify, reverse engineer, or interfere with the Services, use automated means to access the Services, or use the Services for any illegal purpose.

You retain ownership of any content you submit through the Services. By submitting content, you grant Feodis a worldwide, royalty-free license to use that content in connection with operating the Services. You may not submit content that is unlawful, infringing, or harmful. We reserve the right to monitor and remove content for any reason.

The Services and all content, features, and functionality are owned by Feodis or its licensors and protected by intellectual property law. "Feodis" and the Feodis logo are trademarks of Feodis. If you provide feedback or suggestions, you grant Feodis a perpetual, royalty-free license to use that feedback without compensation to you.

Our Services may contain links to or integrate with third-party platforms, including our identity verification and credit data partners. We are not responsible for the content, accuracy, or privacy practices of third-party sites, and inclusion of a link does not imply endorsement.

Certain features require payment of fees, quoted in U.S. dollars. We use third-party payment processors to handle transactions. Subscriptions automatically renew at the end of each billing period unless canceled; you may cancel at any time through your account settings. No refunds are provided for partial billing periods. We reserve the right to change fees with reasonable notice.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. Feodis disclaims all warranties to the fullest extent permitted by law, including warranties of merchantability, fitness for a particular purpose, and that the Services will be uninterrupted or error-free.

TO THE FULLEST EXTENT PERMITTED BY LAW, FEODIS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID TO FEODIS IN THE 12 MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100.00).

You agree to defend, indemnify, and hold harmless Feodis and its affiliates from any claims arising out of your violation of these Terms, your use of the Services, or your violation of any applicable law.

You may terminate your account at any time by contacting us. We may terminate or suspend your account immediately, without notice, for breach of these Terms or fraudulent or illegal activity. Upon termination, your right to use the Services ceases immediately, and provisions that by their nature should survive termination will survive.

11.1 Governing Law

These Terms and any dispute arising from them shall be governed by and construed in accordance with the laws of Sandoval County, New Mexico, without regard to its conflict of law provisions.

11.2 Informal Resolution

Before filing any claim, you agree to attempt to resolve the dispute informally by contacting us. We will attempt to resolve the dispute within 30 days.

11.3 Arbitration Agreement

Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration conducted by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be held in Rio Rancho, New Mexico. You agree that any arbitration will be conducted only on an individual basis and not as a class, consolidated, or representative action.

11.4 Exceptions to Arbitration

The arbitration agreement does not apply to claims for injunctive relief, claims related to intellectual property rights, or small claims court actions.

11.5 Opt-Out

You may opt out of the arbitration agreement within 30 days of first accepting these Terms by sending written notice to legal@feodis.co.

Feodis respects the intellectual property rights of others and will respond to valid DMCA takedown notices. If you believe your copyrighted work has been infringed, contact our designated agent:

You represent that you are not located in a country subject to U.S. government embargo, are not listed on any U.S. government list of prohibited parties, and will not use the Services for any purpose prohibited by U.S. export laws.

Feodis shall not be liable for any failure or delay in performing its obligations due to causes beyond its reasonable control, including acts of God, government actions, or internet or telecommunications failures.

If any provision of these Terms is found invalid or unenforceable, the remaining provisions continue in full force. No waiver is effective unless in writing. You may not assign these Terms without our prior written consent; Feodis may assign these Terms without restriction.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Feodis regarding the Services and supersede all prior agreements and communications.
